Terms of Service

1. Parties and Scope

These Terms of Service (“Terms”) govern the contractual relationship between Cyberlicious GmbH, Musterstraße 1, 80331 Munich, Germany (“Cyberlicious”) and the business or individual (“Client”) purchasing a website subscription via cyberlicious.de. By completing the onboarding questionnaire or paying a subscription invoice, the Client accepts these Terms in full.

2. Services

Cyberlicious provides a managed website subscription service comprising:

  • Design and development of an industry-specific website in Next.js and Tailwind CSS
  • SEO-optimised copywriting for all pages included in the chosen plan
  • Technical on-page SEO, structured data, and sitemap setup
  • Website hosting, SSL certificate, CDN, and security maintenance
  • Google Search Console integration and monthly performance reporting
  • Monthly auto-optimisation based on Search Console data
  • Email support with a 2 business-day response SLA

The exact page count and features depend on the plan selected at signup. Cyberlicious reserves the right to update service inclusions with 30 days' notice.

3. Onboarding and Delivery

After receiving a completed questionnaire and the first subscription payment, Cyberlicious will deliver a live website within 5–7 business days. Delivery timelines may be extended if the Client does not respond to clarifying questions within 2 business days or fails to provide required assets (e.g. logo, photos).

4. Subscription and Payment

  • The subscription fee is charged monthly (or annually for annual plans) by direct debit or credit card via our payment processor.
  • The first payment is due at signup and activates the build process.
  • Subsequent payments are due on the same calendar day each month (or year).
  • All prices are net of VAT. VAT is added where applicable under EU law.
  • Cyberlicious may adjust subscription prices with 60 days' written notice. The Client may cancel before the new price takes effect without penalty.

5. 30-Day Money-Back Guarantee

If the Client is not satisfied with the delivered website within 30 days of the initial launch date, Cyberlicious will refund the first month's subscription fee in full upon written request to hello@cyberlicious.de. This guarantee applies only to the first subscription period and is void if the Client has requested changes that substantially altered the originally delivered website.

6. Cancellation

Either party may cancel the subscription with 30 days' written notice. Upon cancellation Cyberlicious will:

  • Keep the website live until the end of the current billing period.
  • Provide the Client with a full export of all website source files within 5 business days of the cancellation effective date.
  • Disable hosting and remove the site from Cyberlicious infrastructure at the end of the billing period.

No refunds are issued for unused days within a billing period unless the 30-day money-back guarantee applies.

7. Client Responsibilities

  • Provide accurate and complete information in the onboarding questionnaire.
  • Ensure that any materials supplied (logos, images, text) do not infringe third-party intellectual property rights.
  • Grant Cyberlicious read-only access to the Client's Google Search Console property for the purposes of monthly optimisation.
  • Notify Cyberlicious promptly of any material changes to business information (address, phone number, services, opening hours).

8. Intellectual Property

Upon full payment of all outstanding invoices, the Client receives a perpetual, non-exclusive licence to use the delivered website. Cyberlicious retains ownership of proprietary frameworks, templates, tooling, and the auto-optimisation system. Clients may not resell or sublicense the website infrastructure.

9. SEO and Rankings Disclaimer

Cyberlicious applies industry best practices for search engine optimisation but cannot guarantee specific Google rankings or traffic levels. Search engine algorithms are outside Cyberlicious's control. Results vary depending on competition, domain age, and other factors.

10. Limitation of Liability

To the maximum extent permitted by law, Cyberlicious's total liability to the Client shall not exceed the total subscription fees paid by the Client in the 3 months preceding the claim. Cyberlicious is not liable for indirect, consequential, or loss-of-profit damages.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes is Munich, Germany, to the extent permitted by applicable law.

12. Changes to These Terms

Cyberlicious may update these Terms at any time. Material changes will be communicated to active subscribers by email at least 30 days before taking effect. Continued use of the service after the effective date constitutes acceptance.
